Limit of Liability

The equipment sold hereunder is warranted pursuant to the following LIMITED WARRANTY:
Equipment not manufactured by Security Innovations Inc. is subject solely to the terms and conditions of the manufactures warranty, if any, applicable to such equipment. Security Innovations Inc., shall make such warranty available to the purchaser to the extent permitted by the terms and conditions of such warranty.
Security Innovations Inc., makes no warranty of any nature whatsoever, to purchaser as to such equipment.

THE AFORESAID WARRANTIES ARE EXPRESSLY MADE IN LIEU OF ANY OTHER WARRANTIES, EXPRESSED OR IMPLIED. IT BEING UNDERSTOOD THAT ALL SUCH OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE ARE HEREBY EXPRESSELY INCLUDED. IN NO EVENT SHALL SECURITY INNOVATIONS INC., BE LIABLE TO PURCHASER FOR ANY DIRECT, COLLATERAL, INCIDENTAL OR CONSEQUNTIAL DAMAGES IN CONNECTION WITH PURCHASER'S USE OF THE SYSTEM, OR ANY OTHER CAUSE WHATSOEVER RELATING TO THE SYSTEM. ALL IMPLIED WARRANTIES ARE LIMITED IN DURATION TO THE ONE YEAR TERM OF THIS EXPRESSED WARRANTYAND SECURITY INNOVATIONS INC. HAS GIVEN NO OTHER WARRANTY.

IT SHOULD BE NOTED THAT SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE FOREGOING LIMITATIONS MAY NOT APPLY. THE PURCHASER IS GRANTED SPECIFIC LEGAL RIGHTS PURSUANT TO THIS WARRANTY IN ADDITION TO ANY OTHER RIGHTS GRANTED UNDER APPLICABLE LAW. RETURN OF A WARRANTY SERVICE AUTHORIZATION NUMBER ALONG WITH THE EQUIPMENT IS A CONDITION OF PRECEDENT TO WARRANTY PERFORMANCE.

NEITHER SECURITY INNOVATIONS INC., NOR ITS REPRESENTATIVES SHALL BE LIABLE TO PURCHASER OR ANYONE ELSE FOR ANY LIABILITY, CLAIM, LOSS, DAMAGE OR EXPENSE OF ANY KIND, OR ANY DIRECT, CONSEQUENTIAL, COLLATERAL OR INCIDENTAL DAMAGES, RELATIVE TO OR ARISING FROM OR CAUSED DIRECTLY OR INDIRECTLY BY THE EQUIPMENT, ITS INSTALLATION OR THE USE THEREOF OR ANY DEFICIENCY, DEFECT OR INADEQUACY OF THE EQUIPMENT. IT IS EXPRESSLY AGREED THAT THE PURCHASER'S EXCLUSIVE REMEDY FOR ANY CAUSE OF ACTION RELATING TO THE PURCHASE, INSTALLATION AND/OR USE OF THE EQUIPMENT SHALL BE FOR DAMAGES AND SECURITY INNOVATIONS INC. LIABILITY FOR ANY AND ALL LOSSES OR DAMAGES RESULTING FROM ANY CAUSE WHAT SO EVER, INCLUDING NEGLEGENCE, SHALL IN NO EVENT EXCEED THE PURCHASE PRICE OF THE EQUIPMENT IN RESPECT TO WHICH THE CLAIM IS MADE OR, AT THE ELECTION OF SECURITY INNOVATIONS INC., THE RESTORATION OR REPLACEMENT OR REAPIR OF SUCH EQUIPMENT.

Purchaser shall give written notice to Security Innovations Inc., of any claim or potential claim arising out of or relating to this agreement with in 30 days after the date of the occurrence-giving rise to such claim or potential claim. No action to recover for any claim of purchaser shall be instituted or maintained against Security Innovations Inc., by purchaser unless notice of such claim has been so given by purchaser to Security Innovations Inc. Unless specifically prohibited by law, no action to recover for any claim shall be instituted or maintained by the purchaser against Security Innovations Inc., unless the action has been instituted with in 12 months after the date of the occurrence giving rise to such claim.

PURCHASER WAIVES ANY AND ALL RIGHTS OF SUBROGATION THAT ANY INSURER OR PURCHASER MAY HAVE AGAINST SECURITY INNOVATIONS INC.
